TERMS OF SERVICE AGREEMENT
 
  1. Introduction
Welcome to our music vocal licensing website. These Terms of Service (“Terms”) govern your use of our website and related services (collectively, the “Services”). By accessing or using our Services, you agree to be bound by these Terms.
  1. Use of Services
You must be at least 18 years old and have the legal capacity to enter into these Terms to use our Services. You agree to comply with all applicable laws, rules, and regulations when using our Services.
Our Services allow you to license music vocal stems from our website for use in your own music productions. You may not use our Services for any illegal or unauthorized purpose.
  1. User Content
You are solely responsible for any content that you post, upload, publish, display, or otherwise make available through our Services (“User Content”). You represent and warrant that you have all necessary rights to your User Content and that your User Content does not violate any third party rights, including intellectual property rights.
We reserve the right to remove any User Content that violates these Terms or is otherwise objectionable.
  1. Licenses
When you license vocal stems from our website, you are granted a non-exclusive, non-transferable license to use the vocal stems in your own music productions. You may use the vocal stems in any number of productions, and release those productions on any platforms you choose. You retain all royalties earned from your productions.
  1. Payment
You agree to pay the fees listed on our website for any licenses you purchase through our Services. All fees are non-refundable.
  1. Intellectual Property
Our Services, including the vocal stems available for license, are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works of our Services without our prior written consent.
  1. Disclaimer of Warranties
Our Services are provided “as is” and without warranties of any kind, whether express or implied. We do not warrant that our Services will be uninterrupted, error-free, or free from viruses or other harmful components.
  1. Limitation of Liability
In no event will we be liable for any indirect, consequential, special, punitive, or incidental damages arising out of or in connection with these Terms or your use of our Services.
  1. Indemnification
You agree to indemnify and hold us harmless from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or in connection with your use of our Services or your breach of these Terms.
  1. Changes to Terms
We reserve the right to modify these Terms at any time. If we make material changes to these Terms, we will notify you by email or by posting a notice on our website.
  1. Governing Law
These Terms and your use of our Services will be governed by and construed in accordance with the laws of the state of [insert state]. Selling Vocals:
Through the Site, third parties ("vocalists") make compositions and recordings (also referred to as "vocal tracks" or "vocals") available. Vocal Warehouse requires all vocalists to certify that their recordings and offerings don't violate any third-party rights and that they have the authorizations necessary to distribute the vocal tracks and grant perpetual rights to customers.
 
Vocalists certify that they are the sole owners of all vocal tracks they offer for sale or rent and that they have all necessary licenses, copyrights, mechanical licenses, and other permissions to do so.
Seller Responsibilities
 
Vocalists guarantee and represent the following by uploading and selling vocal tracks on the website, along with any accompanying artwork or other content (collectively, "vocal track content"):
• the vocal track content does not violate the rights of any third party, including sample owners, writers, artists, or musicians; • the vocal track content shall not contain or transmit any virus or other harmful material; • all files you advertise as being included with purchase are uploaded;
 
All vocal sales and licenses are between the seller and the buyer, despite the fact that Vocal Warehouse offers a platform for you as a Seller to do so. You consent to bringing any claims you may have relating to the sale, license, or purchase of a vocal solely against the buyer and never against Vocal Warehouse.
 
Vocal Warehouse reserves the right to remove any of Your Content from the Website if it: (i)is obviously offensive, pornographic, or defamatory; (ii)is the subject of a legal dispute between you and another party; (iii)is content for which you are unable to provide proof of your ownership upon Vocal Warehouse's request; (iv)violates a third party's intellectual property rights or other protected interests; or (v)is the subject of a takedown Vocal Warehouse will not be liable to you if any of your content is deleted from the website.
 
The goal of Vocal Warehouse is to offer top-notch vocals to the musical community. As a result, we reserve the right to delete content that we find to be of significantly low quality.
Any content or account that we believe violates our terms and conditions may be terminated, suspended, or removed without incurring any liability to you. In the event that you violate any of these terms, you agree to hold us harmless from all direct and indirect claims, losses, damages, costs, and liabilities.
These Terms constitute the entire agreement between you and us with respect to the subject matter hereof and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and us.
